Who are we looking for?We are seeking a Head of Legal Zurich to oversee all legal and regulatory matters. This role is crucial in ensuring compliance with FINMA regulations and supporting our operations teams with expert legal advice. What are the minimum requirements you need for the role?Swiss-qualified lawyer (or equivalent) with at least 10+ years of experience in fund management, financial regulation, or asset management law. Strong knowledge of FINMA regulations and Swiss/EU investment fund laws. Experience working with or within a Swiss fund management company, asset manager, or law firm focusing on investment funds. Familiarity and knowledge of European UCITS and AIFMD regimes would be advantageous. Fluency in English and German (French or Italian is a plus). What is your role and your responsibilities?Act as the Head of Legal in accordance with FINMA requirements, ensuring regulatory compliance in all company activities. Supporting the management company from a legal and regulatory perspective in Zurich. Drafting fund documentation (prospectus, fund contracts, supplements, etc.) for new and existing collective investment schemes as well as related management company documentation. Drafting and negotiating various agreements (including cooperation agreements, investment management agreements, administration and custody agreements, distribution agreements, dealing agreements, and terms of business agreements). Provide legal support on fund structuring, distribution, and investment management agreements. Oversee all legal aspects of FINMA-regulated activities, ensuring compliance with the Financial Institutions Act (Fin IA), Financial Services Act (Fin SA), and Collective Investment Schemes Act (CISA). Assist with business development and sales activities and client services teams as required (including product development and special project work). Liaising with external legal advisers, FINMA, and other regulatory authorities as may be required. Assisting with drafting and implementing regulatory documents (e.g., Organisational Rules, constitutional documents for the management company). Advise on governance, risk, and compliance matters, including AML regulations and cross-border legal issues. Train internal teams on legal and regulatory developments impacting the business. Stay updated on Swiss and EU financial regulations, ensuring the company adapts to regulatory changes.
